for Distributors
Simple actions I took when I started in 2008, which allowed me to build a strong Enagic organization. We have also added more current approaches. These actions are duplicable and can be applied by any new distributor.
๐ฏ Step 1 โ Find Your WHY
Before you start, you need to know why you are doing this business.
Try to identify exactly what motivates you. If your motivation is to make money, try to find the deeper reason behind that desire. Find a real motivation: what do you want to do or achieve with money? Name it as precisely as possible.
For example:
- I want to help my family withโฆ
- I want to improve our/my quality of life
- I want to support the causes that matter to me
- I want to live a healthy life and improve our/my environment
- Etc.
๐ฃ Step 2 โ Get Known
Talk about our product range to the people you meet. Explain the benefits of the products and use real-life examples you have witnessed yourself. Use storytelling.
Storytelling means explaining an idea, a product or an experience by telling a real story you lived or witnessed, rather than citing only technical information or arguments, which are boring and that few people remember.
People identify much more easily with the concepts of a story than with a technical explanation, because they can recognize themselves in the situation, imagine what happened and feel the emotion linked to the experience.
To be effective, the story must remain authentic, simple and personal. The goal is not to deliver a perfect speech, but rather to sincerely share a real experience.
To effectively share this opportunity, it is very important to know your products well. This means you should regularly use our product range:
- of course, the water and the Kangen machine
- Ukon
- the soap
- the tea (if available in your country)
- emGuarde (if available in your country)
- Anespa (which I personally love)
- and any new product available in your country
But knowing the products is not enough. It is also important to take the time to study and understand:
- how each product works
- how the products are used and installed, etc.
- how the compensation plan works
The more you learn:
- the more confidence you gain
- the more you can help people
- the more you become a leader for your team
It is also very important to share the fact that this activity can be an excellent source of income. With Enagic, you are not only doing something positive for people's physical health. You can also help them improve their financial situation.

After each action you ask your prospects to take:

Attend training sessions regularly:
Attend meetings and training sessions at the Enagic office, on Zoom, with your uplines or others, on a regular basis.
This will allow you to learn about the product and the business, and will keep your team united and winning.
๐ค Step 6 โ Work as a Team
Doing this business with a partner or participating in group activities gives tremendous power to your organization.
๐ Step 7 โ Train Your Distributors
Training is ongoing.
Use a simple and duplicable system.
Whether you use:
- marketing funnels
- online marketing
- social media
- AI tools like ChatGPT
โก always create a simple program that your distributors can duplicate.
On the contrary, the compensation plan rewards you when you help them succeed.
๐ก Don't put all your eggs in one basket โ for security, build at least 3 strong lines in your organization.
๐ Step 8 โ Organize Your Meetings
When you are ready:
Organize your own meetings:
- at home
- on Zoom, etc.
Your sponsor or upline can help you at the beginning.
๐ Step 9 โ 3-Way Calls are a very powerful tool.
Use them.
3-way calls are a very powerful tool because they allow you to add the experience and credibility of a third person to the conversation with a prospect.
This helps to:
- strengthen the prospect's confidence
- show that you work as a team
- provide answers based on more experience
You can also use 3-way calls even when you already know the answer to a question. For example, you can say:
"I'm not sure, let me check with ___"
Then call your upline, or someone you work with.
This simply shows your prospect that you are not alone and that you have a team behind you, which often builds much more trust.
๐งฐ Step 10 โ Use the Tools
Use tools to support your presentations, build your funnels, etc.

๐ Step 11 โ Get Familiar with Online Tools

These discussions should remain between you and your upline.

๐ The Duplication Principle
Duplication is the key to success in this business.
Each distributor / leader will, over time, discover what works best for them. And when they start succeeding, without of course radically changing what already brings them success, they can then adapt their training for their own downline.
In this way, they can in turn create "mini-mes" in their team, and thus continue the duplication within the organization. ๐
And that is what makes the difference between those who succeed at the highest level and the others.

Understanding Enagic's 8-Point Commission System
This training was designed to give you a better understanding of all aspects of Enagic's 8-point commission system.
Understanding How You Start Building Your Organization
Each booth represents a line in your organization.
The more booths you open:
โ the more your organization grows
โ the more sales occur
โ the more points flow back up to you
Every time a distributor makes a direct sale, they open a new booth.
The rank of the booth (1A, 2A, 3A, etc.) depends on the total cumulative sales made in your organization at that moment (direct + indirect sales combined).
Each new booth โ line can only be opened with a direct sale.

You have 23 cumulative sales, and have opened a 4A line with a direct sale. You make a new direct sale โ where do you place it?
You do not have enough cumulative sales to open a 5A line, so you open a new 4A line.
Direct Sale: a sale placed DIRECTLY under a position belonging to you.
Indirect Sale: any sale placed WITHIN YOUR 8 POINTS (even if you only earn one point on that sale).
Maximum Points You Can Earn per Line โ Based on the Line in Which It Appears
Each Enagic machine sale generates a maximum of 8 commission points.
These 8 points are distributed from the bottom up in the organization, and THE PERSON WHO MAKES THE SALE IS ALWAYS PAID FIRST.
These 8 points are distributed, MOVING UP the line, until all 8 points have been fully paid out.
โก Once the 8 points have been distributed, people above in the organization receive no more points for that sale.

For a K8 (USA):
1 point = $351
A sale generates 8 points.

The Additional Bonus for 6A Distributors
6A "Educational Allowance"
This bonus is paid to 6A distributors when a sale occurs below their 8 points. Normally they would receive nothing on this sale. But since they are 6A, they still earn a bonus.

How to Capture All 8 Points
These positions must be placed under them, within their own organization.
You can thus create multiple new lines under your main position, and therefore capture all 8 points โ if placed correctly.
โก While simply being able to earn the 8 points is already very motivating in itselfโฆ
The real wealth is built by thinking toward the future: using these positions strategically to move up in rank and become 6A2 as quickly as possible. And at the same time, having those below you who are actively working toward 6A do the same.
โก While capturing the 8 points can be interesting, the true power of the Enagic plan is that it allows you to build a solid 6A2 and beyond organization that you can pass on to your children.
Creating 6As Is Not Enough
It is from this level that monthly and quarterly bonuses begin.
๐ก If everyone rises to the 6A2 rank and pushes their distributors to do the same, then everyone moves up in rank.
Structure to Reach 6A2
These 6As do not need to come from your direct sales.
The two 6As can be anywhere in your organization, as long as they do not come from the same line.

Each leader in turn develops two 6A2 leaders, and when both become 6A2, they become 6A2-2.

Brandon Brown Strategy
How one organization reached approximately 5,000 units in a single month โ and what this teaches us about duplication and team building.
Fast Decision
Brandon saw the product and the compensation plan, and bought his machine immediately. Fast decisions and immediate action separate those who watch from those who truly succeed. This mindset creates momentum in an organization.
Duplication, Not Motivation
At first, Brandon heavily motivated his team. Then he understood: motivation does not multiply. Duplication does. Today, he focuses on simple actions, clear messages, and systems that are easy to replicate.
Simple Daily Actions
Distributors don't need to be motivated every day. They need to know what to do each day: talk about the product, share the opportunity, create natural conversations, follow a simple system. Consistency builds confidence.
Brand Ecosystem
Brandon doesn't just talk about one product, but an ecosystem. Use emGuarde, Ukon, Kangen demonstrations, wellness workshops, community events. The goal: create additional touchpoints with the brand.
Develop Leaders
A large part of the growth comes from developing new leaders. These leaders follow the system, stay consistent, and help new distributors duplicate.
Relationship Before Product
Wagyu (US) or emGuarde (Europe) are gateway products to create relationships. It's not the product that creates the business โ it's the relationship. Products open the conversation.
The Mechanics of 5,000 Units
500 active distributors ร 10 machines/month = 5,000 machines
or
1,000 active distributors ร 5 machines/month = 5,000 machines
This often means only 1 machine per week per distributor.
That is exactly the power of duplication.

Simplicity Always Wins
If it cannot be duplicated, it cannot grow. An overly complicated system will never multiply. Keep everything simple.
People Progress at Different Speeds
A leader must have patience. Each distributor moves at their own pace. Your role is to keep the system available to them, not to force them.

This is more powerful than charisma. People stay where they feel supported and respected. A strong team culture is your most lasting competitive advantage.
Enroller vs Sponsor โ
The Team Building Program
This program rewards the person who did the real recruitment work, while also allowing the organization to be built strategically.
- The one who prospected, demonstrated, and closed the sale. Or an upline who helped close the sale. Or a position of yours โ or of someone above the sale โ that you need or want to help reset (for SP point).
- This sale counts as a direct sale for the Enroller.
- The Enroller receives SP protection โ their qualifications are reset.
- The Enroller receives the number of points based on where the sale is located.
- The person who made the sale chooses where to place the new distributor within their group.
- The distributor under whom the new one is placed in the genealogy.
- The Sponsor receives the same number of points as usual.
- SP protection does NOT go to the Sponsor โ their qualifications are not reset.
- A distributor can be both the Enroller AND the Sponsor.
๐ The Enroller must always be ABOVE the Sponsor in the organization. The Enroller places the sale under a distributor within their own group โ they cannot place the sale in a different group.

Why Use This Program?
Build the Organization
You can strategically place a sale under a distributor in your group to strengthen their line โ while keeping the SP protection yourself for your recruiting work.
6A2 and Above Incentives
If you are 6A2-3 and above: the sale counts as a direct sale, within or outside your 8 points. If you are 6A2 or 6A2-2: the sale must be within your 8 points to qualify for your monthly and quarterly incentives.
Earn 8 Points and Build Toward 6A2 and Beyond
You can use two of your own ID numbers โ one as Enroller, one as Sponsor. This allows you to capture the 8 points while strategically placing the sale to build your organization toward 6A2 and beyond. SP protection goes to the Enroller ID. The 8 points remain unchanged. The Enroller and Sponsor must be the same person.
Frequently Asked Questions
Does SP protection go to both โ Enroller AND Sponsor?
No. SP protection goes only to the Enroller. The direct Sponsor must therefore ensure they are active before the sale is processed if they wish to maintain their own SP status.
Can an existing distributor who purchases a Ukon use this program?
No. If an existing distributor purchases a Ukon themselves, they are considered to have "enrolled" themselves. SP protection then goes to the direct Sponsor ID.
Can the sale be placed outside your 8 points?
Yes โ for SP protection, the Enroller can place the sale outside their 8 points, as long as the Sponsor is within their own group. However, for 6A2 and 6A2-2 incentives, the sale must be within the 8 points.
SP Protection = SP Commissions?
Yes. As soon as a sale is made and the Enroller is named, they recover their SP status for 3 months and therefore receive their full commission: SP bonus + base commission.
How to Fill Out the Application Form?
Every form must have the Enroller section filled out. If the Enroller and Sponsor are the same person: fill out the Enroller section and check "Same as Above" for Sponsor. If different: fill out both sections separately. In the "Register this applicant as your [ ]A" box, always use the Sponsor's information.

The Tokurei Program
(Special Payment Plan)
The Tokurei โ also called the "Good Samaritan" plan โ is a program that allows someone who cannot purchase the machine immediately to become a distributor and start selling. Their future commissions will go toward paying off the machine progressively.
Conditions to Access the Program
Unable to Purchase the Machine in Full
The Tokurei program is reserved for those who are unable to purchase the machine in full by cash or credit card. It is a solution to start the business regardless.
Make at Least One Direct Sale โ Submitted at the Same Time
The applicant agrees to sell and submit at least one Product Order Form & Distributor Agreement for purchase by cash, credit card, or finance โ NOT through another Special Payment Plan. This sale must be submitted at the same time as the applicant's Tokurei application.
โ ๏ธ While the Special Payment Plan is in effect, sales of Ukon products will not apply towards any offset and will not count towards group total sales.

$25 Enrollment Fee
A $25 enrollment fee will be incurred when undertaking this program.

Concrete Examples โ K8 (base commission $270, $75 withheld)
Mary is on the Tokurei program for a K8. She sells a K8 to Paul in full payment. On this sale, she receives 1 point.
โข Base commission K8 without SP: $270
โข Amount withheld by Enagic toward her machine: โ $75
โข Mary receives in cash: $195
โ $75 accumulate toward the payoff of her K8.
This time Mary receives 3 points on the sale.
โข Base commission K8 on 3 points: 3 ร $270 = $810
โข Amount withheld by Enagic toward her machine: 3 ร $75 = โ $225
โข Mary receives in cash: $585
โ $225 accumulate toward the payoff of her K8. The more sales she makes and the more points she receives, the faster her machine is paid off.
On every sale made by one of your Tokurei distributors, points are distributed normally up the upline โ exactly like any other sale.
Once the full machine amount has been reached through accumulated withholdings โ or if Mary decides one day to pay the remaining balance in one lump sum โ the Tokurei agreement ends automatically.
Mary then receives her machine and earns her official Kangen Distributor title with all the benefits that come with it:
- She earns her full commissions, including the SP bonus
- She is officially recognized as a full-fledged Enagic Distributor
Important Rules to Know
Upgrade Possible, No Downgrade
The Tokurei distributor can choose a higher machine than the one initially selected. However, it is not possible to choose a less expensive machine once the program has begun.
No SP During Tokurei
The SP (Special Point) bonus does not apply to the distributor for the entire duration of the Tokurei program. They will only regain their SP once the machine is fully paid off.
End of the Program
The Tokurei agreement ends automatically as soon as the machine is fully paid off. The distributor then becomes a full distributor with all rights, including SP.
First-Time Registration Only
The Tokurei program is only available for people signing up with Enagic for the very first time. It is not possible to use it for a 2nd or 3rd account.
Documents to Provide
To Enroll in the Tokurei Program
- "Agreement of Special Payment (Samaritan, Tokurei) Plan" form completed and signed
- Product Order Form signed
- Copy of valid ID (driver's license or passport)
- Direct Sponsor's signature
- Direct 6A's signature
Bonuses after 6A

Once you reach the 6A rank, you are in the top 1% of Enagic distributors! The adventure is just beginning: Enagic encourages you to develop your network in depth through several additional bonuses, on top of your regular commissions.
๐ 1 โ Title Achievement Bonus
The first bonus paid when you reach a new rank for the first time. The higher your rank, the larger the bonus.

Qualification for the 6A Rank
- 101 sales or more within your 8 points.
- At least $300,000 USD in total accumulated sales volume.
Qualification for the Title Achievement Bonus
- A minimum of 10 group points (sales within your 8 points where you received at least 1 commission point) during the same qualifying month.
- If you don't have 10 points in the first month: Enagic will still pay the bonus if you accumulate 15 points over 2 months or 20 points over 3 months starting from the month you become 6A.
๐ก Sales vs. Points โ an important distinction
The qualification threshold is 10 points, not simply 10 sales. Some products do not count for a full point:
- emGuarde / Kangen Air: counts as 0.5 point per unit
- Ukon DD: counts as 1/3 of a point per unit
- Ukon Sigma: counts as 1 point per unit
- Bronze E8PA Cards: counts as 0.5 point per unit
Example: If a distributor makes 9 K8 machines + 1 emGuarde that month, they have made 10 sales but only 9.5 points โ they do not reach the 10-point threshold and do not receive the Title Achievement Bonus.
โ ๏ธ CRITICAL RULE โ Ranks 6A2-3 and above
To receive the Title Achievement Bonus at ranks 6A2-3 and above, the last 6A who causes the rank promotion must themselves qualify โ meaning they must reach $300,000 in volume AND make their 10 points within their 8 points in the same month they become 6A.
If this last 6A does not meet these conditions, no one above them receives the Title Achievement Bonus โ not you, not anyone at higher ranks.
Example 1 โ Marie moves from 6A2 to 6A2-2
โ Starting Situation โ Marie is 6A2
โก This month โ Julie becomes 6A โ Joe reaches 6A2 โ Marie reaches 6A2-2
It is Julie โญ (new 6A) who moves Joe from 6A to 6A2, and therefore Marie from 6A2 to 6A2-2.

If Julie achieves at least 10 points in her 8 points and reaches $300,000 the month she becomes 6A โ Julie receives the 6A Title Bonus, Joe receives the 6A2 Title Bonus, and Marie receives the 6A2-2 Title Bonus ($12,000). Everyone above Marie receives it too.
โ If Julie does not meet these conditions โ no one receives the Title Achievement Bonus โ not Julie, not Joe, not Marie, not anyone above.
Example 2 โ Moving from 6A to 6A2
Sophie is 6A. She already has one 6A under her. A second distributor, Luc, becomes 6A in a second line โ which promotes Sophie to 6A2.

If Luc achieves 10 points in his 8 points and $300,000 the month he becomes 6A โ Sophie receives the 6A2 Title Bonus ($6,000).
โ If Luc does not qualify that month โ Sophie does not receive the bonus, even if she officially changed rank.
To Receive the Full Amount
You must make at least 7 direct sales structured as follows:
- 2 direct sales in 1A lines.
- 4 direct sales in 2A to 5A lines.
- 1 direct sale in the 6A line โ the last sale that qualifies you for 6A.
emGuarde & Kangen Air โ Counting Rules
- emGuarde: counts as 0.5 point per unit.
- Kangen Air: counts as 0.5 point per unit.
- Ukon DD: counts as 1/3 of a point per unit.
- Ukon Sigma: counts as 1 point per unit.
- Bronze E8PA Cards: counts as 0.5 point per unit.
A distributor starts the month with 91 sales and wants to qualify only with emGuarde/Kangen Air โ they will need to sell 20 units (20 ร 0.5 = 10 points).
๐ฅ 2 โ 6A Group Award
After reaching 6A, you become eligible for this bonus for 6 months. It is calculated based on your direct sales for the month and the total accumulated sales in your group.

Rules
- Eligible the month following your 6A promotion, for 6 months.
- Calculated based on sales made each month.
- Paid at the following month's 6A conference โ attendance is mandatory.
- 5% of TOKUREI sales are counted toward group sales.
๐ 3 โ Rising Step-Up Award
This bonus rewards every 6A who helps their referrals progress toward the 6A rank. The closer the referral is to reaching 6A that month, the higher the bonus.

๐ข Before the Demo
- Select a date and time for your presentation.
- Promote: Advertise, promote, and confirm and re-confirm for your event. (Have your entire team do the same)
- Preparation: Make sure you know how to do your demo; if not: drill, drill, drill.
- Logistics: Arrive early and get set up properly โ make sure there is 9.5 pH water for the guests and that someone will refill their glasses during the demo.
- Have someone stationed at the entrance to collect information from attendees.
- Refreshments: Prepare some light snacks.
- Greet and introduce yourself to each person personally when they arrive; be friendly and smile.
- Test the ORP meter: If you have one โ otherwise, you can always demonstrate this part using a video, on a computer for example.
- Test your tap water: Make sure it contains chlorine... there may be a filter in place; if not, find water that contains chlorine.
- Test Strong Kangen Water: For proper strength (test a tomato).
- Test Tea Bags: Make sure they do not make tea with regular water.

You are an independent contractor โ not an Enagic employee. You are responsible for your own taxes, Social Security, and business obligations.
Submit your W-9 form to Enagic before making your first sales. Without it, your commission checks will be placed on hold.
Keep your Distributor ID number safe โ you will need it for all communications with Enagic.
Preamble โ Who Enagic USA Is and How Distribution Works
Enagic USA, Inc. (Torrance, CA) markets wellness products, primarily water ionizing and filtration devices. Distribution is based on Direct Selling โ one-on-one presentations and consultations with customers. Distributors do not purchase inventory for resale; they place orders for the end customer directly with Enagic.
The system operates as a multi-level direct sales organization: the Compensation Plan defines the distributor's missions, the criteria to advance in rank, and the commissions paid in return.
The Independent Distributor Agreement is governed by the laws of the State of California, USA. You may conduct business in any US state or other country where Enagic is officially open (list available upon request from Enagic USA).
Admission, Activities & Independent Contractor Status
To become an Enagic distributor, you must be of legal age (18 or older, or the age of majority in your state), be sponsored by an existing distributor, and have your Independent Distributor Agreement accepted by Enagic USA management. Enagic reserves the right to decline an application without stating a reason. Only one person per household may sign an Agreement. There is no purchase required to become a distributor. You are notified of your admission through the delivery of your Distributor ID number.
- Selling: You present and sell Enagic products to end customers. All products are ordered directly from Enagic โ no modification, no re-packaging, no re-bottling. Selling Kangen water in bottles (or under any other label) is strictly prohibited, even for free.
- Sponsoring: You recruit new distributors and train them. It is strictly prohibited to make income claims or earnings projections during recruitment, or to imply guaranteed results. Any false, misleading, or exaggerated statement is prohibited.
Your Agreement with Enagic does not create an employer/employee relationship. You are a self-employed independent contractor (1099). You are fully responsible for your own federal, state, and local taxes, self-employment tax, business licenses, liability insurance, and โ if you use a vehicle for your Enagic activity โ auto insurance at a business-use level.
Enagic may provide administrative tools to support you: back-office portals, commission statements, training materials, and official marketing assets โ but it does not provide tax, legal, or accounting advice. Consult your own professional advisors.
Before commissions can be paid, you must submit a completed IRS Form W-9 to Enagic USA. Without a valid W-9 on file, commission checks may be withheld.
Enagic issues an annual Form 1099-NEC (or 1099-MISC) for total commissions paid, in accordance with IRS reporting thresholds. You are responsible for reporting all income on your personal or business tax return and for paying estimated quarterly taxes if required.
Carrying personal general liability insurance for your business activities is strongly recommended.
You must comply with all applicable federal, state, and local consumer protection laws, including the FTC Direct Selling and Business Opportunity rules. Always identify yourself by name and your title as an "Independent Enagic Distributor." Stop any sales conversation immediately if the prospect requests. Provide all required pre-sale disclosures and ensure the customer receives a copy of the purchase contract.
Advertising, Promotion & Internet Use
- Identify yourself as an "Independent Enagic Distributor" and, if applicable, state your current rank.
- Use only official marketing materials provided or approved by Enagic USA.
- Maintain a personal social media presence (Facebook, Instagram, YouTube, TikTok, etc.) about your Enagic business โ as long as you follow the rules below.
- Create a personal website only with prior written authorization from Enagic USA, and in compliance with their branding guidelines โ your domain and email may not contain the word "ENAGIC" or "KANGEN."
- Notify Enagic in advance of any public promotional event (location, date, content).
- Selling Enagic products on any third-party online marketplace โ Amazon, eBay, Craigslist, Facebook Marketplace, etsy, etc. Online sales are not Direct Sales and are not eligible for commissions.
- Making statements about Enagic products, the compensation plan, or potential income that are not consistent with official Enagic materials.
- Making medical, health, disease, or therapeutic claims of any kind.
- Making income, lifestyle, or earnings claims (e.g. "make $10,000 a month," screenshots of paychecks, luxury lifestyle implications tied to Enagic income).
- Using any sales or recruiting tool not approved by Enagic (print, digital, video, etc.).
- Sending unsolicited bulk emails, SMS, or faxes (spam) โ you must comply with the CAN-SPAM Act and TCPA.
- Commenting publicly in the media about Enagic without Enagic's prior written consent.
- Creating a website or landing page that mimics or could be confused with official Enagic websites.
Non-Competition & Confidentiality
- You may sell other products or services that do not compete with Enagic โ only if you do so separately, never during the same presentation or conversation as an Enagic pitch. You must inform Enagic in writing of any secondary business activity.
- It is prohibited to offer, suggest, or encourage a member of your Enagic organization to sell other products (even non-competing ones) in place of or alongside their Enagic activity.
- No compensation, kickback, or payment may be paid directly between distributors. No cross-purchasing of products for resale either.
- During the term of the Agreement and for two (2) years after termination, you must maintain the confidentiality of all non-public information concerning Enagic, its members, its products, and its sales system โ including downline data and genealogy reports, whether inside or outside your direct line of responsibility.
Income & Compensation
Your commissions are calculated under the Enagic 8-Point Compensation Plan, based on the direct sales generated within your line of responsibility. You must promptly review all commission statements and report any discrepancy to Enagic without delay.
If a customer returns a product within their legal rescission window (typically three business days under the FTC Cooling-Off Rule, or longer where state law provides), Enagic will debit your account for any commissions already paid on that sale.
Commission checks and direct deposits are issued on Enagic's standard payment schedule. A minimum payment threshold may apply โ balances below the threshold roll forward until met.
Enagic makes no income guarantees. Your earnings depend entirely on your own effort, sales activity, and skill. Most distributors should expect modest supplemental income, not full-time replacement income.
Customer Cancellations & Returns
Under the FTC Cooling-Off Rule, a customer who purchases goods of $25 or more at a location other than the seller's permanent place of business has the right to cancel the sale within three (3) business days. Some states provide longer rescission windows โ the longer period applies where required by state law. As a distributor, you must respect this right and clearly inform every customer of it at the time of sale, in writing.
If a customer cancels within the legal window and returns the product in its original condition and packaging, you process the return through Enagic and the customer is refunded. Commissions already paid to you on that sale will be debited back from your account.
Returns that do not comply with the Cooling-Off Rule or Enagic's return policy are not obligated to be accepted.
Term & Termination
- The Independent Distributor Agreement is an at-will agreement of indefinite duration. No renewal fees apply.
- Either party may terminate the Agreement at any time with written notice. Enagic customarily requires a thirty (30) day notice period, though immediate termination may be elected in cases of breach.
- On the termination date, you must cease all activity in the name of Enagic. Commissions on orders transmitted up to the termination date will be paid.
- The Agreement may be terminated immediately, without notice, for serious breach โ including but not limited to: making medical or income claims, online sales on third-party platforms, violating direct-selling rules, making false statements to prospects, or any other violation of the Policies & Procedures.
- No compensation, severance, or indemnity is owed to either party upon termination.
- After termination, you must observe a six (6) month waiting period before re-enrolling as an Enagic distributor under a different sponsor.
Force Majeure
Neither party shall be held liable for failure to perform its obligations when that failure is caused by an event beyond its reasonable control โ including but not limited to natural disasters, pandemics, acts of government, power or internet outages, shipping disruptions, or supply-chain failures affecting Enagic USA.
The affected party must notify the other in writing as soon as practicable. If the disruption continues for more than thirty (30) days, either party may terminate the affected portion of the Agreement without penalty.
Transfers, Death, Spouses & Changing Sponsor
A distributorship is personal and cannot be sold, assigned, or transferred to a third party without the prior written consent of Enagic USA. Enagic USA may approve a transfer when the proposed successor is qualified, commits to the Policies & Procedures, and agrees to complete any required training.
Upon the death of a distributor, the distributorship may be inherited or transferred to a legal heir in accordance with applicable law and Enagic USA's written procedures. The heir must submit the required documents (death certificate, proof of heirship, W-9) and be approved by Enagic USA before any commissions can be reassigned.
A married couple (or members of the same household) is treated as a single distributorship. Spouses and household members may not hold positions in different lines of sponsorship. In the event of divorce, Enagic USA may, at its sole discretion, reassign the position to one spouse upon presentation of a divorce decree or court order.
Changing your line of sponsorship is not permitted as a general rule. Two narrow exceptions may apply: (a) where the original sponsor has engaged in clearly unethical enrollment practices (Enagic USA decides at its sole discretion), or (b) after a full, voluntary termination of the distributorship followed by the mandatory six-month waiting period.
Product Warranty
Enagic USA stands behind the quality of its products. Most Kangen Waterยฎ ionizers sold in the United States carry a 5-year limited manufacturer's warranty on parts and labor (specific coverage varies by model โ always refer to the current warranty card included with the unit and the official Enagic USA documentation).
If an end-customer reports a defective product, the distributor must direct the customer to Enagic USA customer service (or submit a return/exchange request through the standard Enagic USA process). A return authorization number is required before any unit may be shipped back for warranty service.
Limitation on Claims & Dispute Resolution
Any claim arising under or related to the Agreement โ including warranty claims, compensation disputes, or any other contractual matter โ must be submitted to Enagic USA in writing within one (1) year of the date you knew or should have known of the underlying facts, unless a longer period is required by applicable law.
The parties will first attempt to resolve any dispute through good-faith discussion. If that fails, disputes are subject to the dispute-resolution terms set out in the Enagic USA Policies & Procedures (which may include mandatory mediation and/or binding arbitration under California law).
Data Privacy & Consumer Protection
As a distributor, you handle personal information belonging to your customers and prospects (names, addresses, emails, phone numbers, purchase history). You are responsible for handling that information lawfully and respectfully. You agree to:
- Use personal information only in connection with your legitimate Enagic USA distributor activity.
- Never sell, rent, or trade customer or prospect lists.
- Comply with all applicable U.S. privacy laws, including the California Consumer Privacy Act (CCPA/CPRA) where it applies to your business, and any other state privacy laws that cover your customers.
- Honor customer rights of access, correction, and deletion of their personal data upon reasonable request.
- Take reasonable security measures to protect the data you hold (secure storage, strong passwords, no unencrypted shared spreadsheets, etc.).
- Notify Enagic USA promptly of any suspected data breach affecting Enagic customer or distributor data.
- Upon termination of the Agreement, stop using and securely delete or return any Enagic-related personal data you hold.
Changes to Rules & Applicable Law
Enagic USA may, from time to time, update its Policies & Procedures, Compensation Plan, product pricing, and distributor forms to reflect legal, regulatory, or business needs. Changes will be communicated through the usual channels (email, distributor back-office, official website, or other written notice).
Continued participation as a distributor after the effective date of a change constitutes your acceptance of the updated terms. If you disagree with a change, your remedy is to terminate your distributorship in accordance with Article 7.
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, subject to any mandatory arbitration clause set out in the Policies & Procedures.
Incorporated Documents & Final Provisions
This Agreement, together with the Enagic USA Policies & Procedures, the Compensation Plan (8-Point Plan), the Distributor Application, and any current product warranty terms, constitutes a single integrated agreement. All of these documents are incorporated into this Agreement by reference and form an indivisible whole.
Severability. If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions will remain in full force and effect, and the parties will cooperate in good faith to replace the invalid provision with an enforceable term that reflects the original intent as closely as possible.
Entire Agreement. No verbal representations, side agreements, or unwritten understandings exist outside of the documents listed above. Only written amendments issued by Enagic USA are binding.
